Clause n° 1: Purpose
The general sales conditions described hereafter set out the rights and obligations of the association, Awely, Animals and People and those of the purchaser regarding sales of goods through the website www.awely.org. Therefore, all services provided by the association Awely, Animals and People, entail the purchaser's full and unconditional adhesion to the present general sales conditions.
Clause n° 2: Pricing
The prices of the goods sold are those in effect on the day the order is received. They shall be expressed in euros and calculated excluding tax. Shipping costs applicable on the day of the order will be added to the price. The association, Awely, Animals and People, reserves the right to modify its prices at any time. However, it guarantees to invoice goods at the price shown on the day of order.
Clause n° 3: Rebates and discounts
The tariffs proposed include any discounts and rebates that may be offered by the association, Awely, Animals and People, in accordance with its results or due to the fact that certain services are undertaken by the purchaser.
Clause n° 4: Discount
No discount will be granted for early payment.
Clause n° 5: Payment methods
Payment for orders is made by bank card; once the order is recorded, the purchaser must pay the totality of the purchase price.
Clause n° 6: Retention of title
The association, Awely, Animals and People retains ownership of all goods sold until payment in full of the principal and other charges. In this respect, if the purchaser is subject to court-ordered administration or liquidation proceedings, the association Awely, Animals and People reserves the right, as part of the collections procedure, to claim merchandise which has been sold but not yet paid for.
Clause n° 7: Delivery
Delivery is made to the address specified by the purchaser on the order. The delivery time given at order entry serves only as a guide and as such cannot be guaranteed. Hence, any reasonable delivery delay does not constitute grounds for cancellation of an order by the purchaser. The purchaser bears all the risk associated with transport. In the case of goods missing or damaged during transport, it is the purchaser’s responsibility to note the necessary reservations on the carrier’s delivery slip at the time of delivery. These reservations must also be confirmed in writing via recorded-delivery letter to the the carrier, no later than 5 days after receiving delivery.
Clause n° 8: Force majeure
The association, Awely, Animals and People shall not be held liable if its failure to perform its obligations described herein, or late performance thereof, arises from a case of force majeur. Force majeur refers to any external, unforeseeable and overwhelming event within the meaning of Article 1148 of the Civil Law Code.
Clause n° 9: Competent Court
Any disagreements relating to the interpretation and performance of these General Sales Conditions shall be governed by French Law. Where no amicable agreement can be reached, the dispute shall be referred to the Commercial Court of Orléans (Tribunal de commerce d’Orléans).
